A well-established Single Family Office in Mayfair is looking to hire a qualified In-house Legal Counsel.
Candidates must have general legal knowledge of UK and international Law with experience reviewing Direct transactions in a Family Office or law firm setting. Candidates must also have a good awareness of other law firms and build both relationships with them and understand where they may be required to support you across the Family Office on various matters. The successful candidate should have good experience reviewing investment documentation for direct private equity or real estate deals and transaction documents.
As Legal Counsel, the selected candidate will be expected to be involved in a broad range of duties related to different areas within the Family Office.
This may include:
- Review of NDAs, Engagement Letters, LOIs, Term Sheets
- Review of Private Equity Funds, Real Estate Funds and Alternatives / Long Only Funds legal documentation
- Review of legal documentation for Direct and co-investment Private Equity and Real-Estate deals
- Transaction documents may include the following: SPAs, SHAs, LPAs, Facility Agreements, Loan Agreements, Asset & Property Management Agreements
- Drafting of legal documents (including contracts, resolutions and agreements)
- Reviewing any FO bespoke projects and associated legal documentation
- Any compliance and regulatory matters (e.g. experience of ISDAs a plus; on-boarding of 3rd party service providers)
- Support in any fund structuring projects
- Liaison with external law firms appointed by FO on specific projects and participation in any negotiation discussions on legal terms with third parties
- Legal support and coordination of any projects the Family Office is involved in
Key Skills and Qualifications:
- UK and international knowledge and experience
- 3-6 year PQE minimum relevant legal experience including exposure to Investment Management industry
- Experience with reviewing Direct transactions as well as Fund structures [the latter can be learned on the job as it’s a fairly standard process once done a few times]
- Ability to manage multiple tasks and to prioritise workflow while adhering to strict deadlines and excellent work and accuracy
- Flexible, adaptable and responsive character
- High level of communication in English
- Good management and people skills
- Good presentation skills with a strong commercial and legal mindset to be able to advise FO senior colleagues on various issues and conclusions
